Acceptance of terms
By creating an account, accessing, or using FORWINGO (the “Platform”), you agree to be legally bound by these Terms of Use, the Privacy Policy, and any additional guidelines applicable to specific features.
If you do not agree, do not use the Platform.
Definitions
User: Any registered account holder; may act as organizer, participant, judge, or host, and may interact with content through actions such as Like, Comment, and Share.
Organizer: A User who creates or manages a Show.
Participant: A User who applies to or competes in a Show.
Judge: A User approved to score Participants.
Host: A User approved to present or represent a Show.
Show: A virtual competition or reality-show event created on the Platform.
A Show is considered “published” once visible to Users or Participants are able to apply.
Cancellation after publication does not entitle Organizer to refunds.
Content: Any videos, images, text, audio, and materials uploaded to the Platform.
FORWINGO: The operator, FORWINGO UG, Germany.
Eligibility & account
You must be at least 18 and legally able to enter binding agreements.
Users must provide accurate legal personal information.
Each User may hold only one account; multi-accounting is prohibited.
Identity verification (Verification Badge) may be required to:
create Shows
apply as Judge / Host
receive payouts
run paid or sponsored events
FORWINGO may suspend or terminate accounts without notice for fraud, impersonation, or violations.
3.1. Minor Safety Policy
No User may upload Content depicting minors (under 18) in sexualized, suggestive, or harmful contexts. Content involving minors requires explicit written consent of a legal guardian and full compliance with applicable child protection regulations.
FORWINGO may remove Content and report violations to authorities without notice.
Roles & switching
Users may request additional roles (Judge / Host) after identity verification.
Role activation requires FORWINGO approval.
FORWINGO may revoke Judge/Host status at any time for misconduct, bias, inactivity, or community harm.
Organizer responsibilities
Organizers must:
Fully fund prizes, judge fees, host fees, platform fees, and editing costs.
Deposit all required funds upfront to FORWINGO before Show publishing.
Ensure rules are clear, non-discriminatory, and consistent.
Communicate truthfully with Participants.
Organizers cannot amend rules after Show publication unless all parties agree in writing.
Participant responsibilities
Participants must:
Submit original video content.
Follow all rules and deadlines.
Accept judges’ scoring as final and binding.
Cheating, plagiarism, manipulation of scores, or AI-generated deepfakes lead to disqualification.
By participating, you acknowledge that your performance may be edited into episodes, trailers, or promotional material without further approval or compensation.
Judge responsibilities
Judges must:
Score honestly and independently.
Provide transparent reasoning in final videos.
Avoid conflicts of interest (e.g., family, romantic partners, business partners).
Judges acknowledge that final scores are public and may be displayed permanently on the Platform.
Judge scoring, obligations, failure & fallback
Each Judge is required to submit valid scores for all assigned Participants within the official deadline.
Late or missing scores are excluded without extension.
A minimum of two (2) valid Judge score submissions is required to finalize results.
If fewer than two Judges submit valid scores, a Standby Judge appointed by FORWINGO will complete scoring.
If no valid Judge scores exist, the FORWINGO Jury Board will issue final binding results.
Participants shall not be penalized due to a Judge’s failure, absence, technical issues, or misconduct.
Judges who repeatedly fail to vote or compromise fairness may be suspended or removed.
FORWINGO’s decision regarding final results is final, binding, and not subject to appeal.
Judges may not privately contact, coach, or influence Participants during an active Show.
All communication must occur publicly on the Platform.
Host responsibilities
Hosts may:
Create intro videos for Shows.
Represent the Show publicly.
Hosts must follow brand and conduct standards required by FORWINGO.
Payments, deposits & fees
All Show-related funds are paid in advance to FORWINGO.
FORWINGO distributes winnings and fees after Show completion.
Platform fee: 10% per Show (non-refundable).
Editing fee: charged per-minute edited output; pricing defined in dashboard.
Refunds only when:
The Organizer cancels before publishing, or
A Show cannot run due to FORWINGO error
No refunds for: participant applications, withdrawals, missed uploads, disqualification.
10.1. Fraud Hold
FORWINGO may delay or deny payouts if fraud, manipulation, identity conflict, unauthorized collaboration, or suspicious activity is suspected, even without the obligation to prove intent.
Users shall not be entitled to interest, compensation, or damages during investigation.
10.2. Taxes
Users are solely responsible for all taxes, fees, and reporting obligations arising from prizes, payouts, sponsorships, or revenue generated through the Platform or external channels. FORWINGO is not responsible for withholding or paying taxes on behalf of Users.
10.3. Chargebacks or payment disputes initiated after funds are applied to a Show are treated as fraud.
FORWINGO reserves the right to suspend accounts, withhold payouts, or initiate legal action.
10.4. Payouts are processed within 30 business days after Show completion.
Delays may occur due to identity verification or fraud checks.
Content license granted to FORWINGO
By uploading Content, you grant FORWINGO a perpetual, irrevocable, royalty-free, worldwide, transferable license to:
Monetize via ads, sponsorships, Watch Premium, and YouTube.
Use, reproduce, adapt, remix, edit, publish, publicly display, broadcast, commercialize, monetize, and otherwise exploit User Content, User likeness, image, voice, name, and performance, in perpetuity, worldwide, in all formats and media now known or later developed, without further approval or compensation.
This license survives account deletion or Show cancellation.
Users grant FORWINGO unrestricted rights to modify and commercialize:
Their name, image, voice, likeness, performance, and all Content
in any media now known or later developed, without further approval or compensation.
11.1. No expectation of privacy
Users acknowledge that uploaded Content is not private and may be publicly shared, edited, broadcast, distributed, and permanently stored.
Users waive any expectation of privacy regarding uploaded Content.
11.2. Waiver of moral rights
To the maximum extent permitted by law, Users waive any moral rights related to their Content, including rights of attribution, integrity, and objection to edits.
11.3. Sponsored Show: A Show financially supported by a brand or entity, hosted or organized through FORWINGO, where branding, prizes, or thematic requirements may apply.
Sponsored Shows may include branded content, specific rules or prize structures.
Organizers must comply with sponsor requirements where applicable.
DMCA & copyright
FORWINGO complies with DMCA and German copyright law.
Content may be removed without notice.
Repeated infringement results in permanent account ban.
Conduct & safety
Strictly prohibited:
Harassment, threats, hate speech.
Sexual content involving minors or implied minors.
Inciting violence.
Doxxing.
AI deepfake impersonation.
Violations may be reported to law enforcement.
Anti-cheating & manipulation
FORWINGO may:
Audit voting & scoring.
Override fraudulent or manipulated results.
Disqualify Participants, Judges, or Organizers.
Ban Users for life.
Limitation of liability
FORWINGO is not liable for:
Financial loss by Organizers.
Reputational damage from scoring.
Disagreements over feedback.
Revenue loss on external platforms.
Maximum liability of FORWINGO = €0 total.
FORWINGO does not guarantee fame, income, exposure, sponsorship, or other benefits.
Participation is voluntary and at the User’s own risk.
FORWINGO shall not be liable for disruption caused by events outside its control, including natural disasters, war, strikes, cyberattacks, or third-party outages.
FORWINGO does not guarantee uninterrupted availability of Content.
Temporary service disruptions, technical failures, or maintenance may result in delayed uploads, limited playback, or restricted access without compensation.
FORWINGO is not responsible for disputes between Users, including disagreements between Organizers, Judges, Hosts, or Participants.
No right to appeal
All decisions by FORWINGO regarding accounts, content moderation, Show outcomes, judging results, and platform policies are final, binding, and not subject to appeal or review.
By continuing to use the Platform, you confirm full understanding and acceptance of these Terms.
Publicity & Image Release Agreement
17.1. Grant of rights
By uploading Content or participating in any Show, Event or activity on the FORWINGO Platform (“Services”), you irrevocably grant FORWINGO UG a perpetual, worldwide, transferable, royalty-free license to:
your name, image, likeness, biographical information, voice, performance, personality, and all associated Content in any and all media now known or later developed, including but not limited to:
Online video platforms, broadcast television, streaming services, podcasts, social media, promotional campaigns, brand partnerships, live events, merchandise, and VR/AR experiences.
This license survives account deletion, Show cancellation, or termination of services.
17.2. No compensation
You acknowledge and agree that:
No payment, royalties, or compensation are owed to you now or in the future.
FORWINGO may monetize Content via ads, subscriptions, licensing, brand deals, Premium Watch, or any other business model.
You waive any rights to claim financial participation, profit-share, or reporting.
17.3. Waiver of approval
You waive the right to:
Inspect or approve final edits.
Request removal of Content.
Restrict usage contexts.
Demand attribution.
17.4. Waiver of moral rights
To the fullest extent permitted by law, you waive all moral rights, including:
Right of integrity (no objection to edits).
Right of attribution (credit not required).
Right to withdraw or modify consent.
17.5. Independent ownership
You retain ownership of your original Content.
However, all edits, compilations, remixes, derivative works, and series outputs created by FORWINGO become the exclusive property of FORWINGO without limitation.
This includes:
Episodic reality-show output.
Promotional trailers.
Highlight reels.
Branded intros/outros.
Show compilations.
AI-generated edits and enhancements.
17.6. Confidentiality
You may not disclose behind-the-scenes production information, internal processes, scoring methods, or unreleased platform features without written permission.
17.7. Representations
You confirm that:
You have the legal right to grant these permissions.
Content is original and non-infringing.
Persons featured have provided consent where required.
17.8. Liability & release
You release and discharge FORWINGO from:
Claims of defamation, privacy invasion, emotional distress.
Claims related to editing, transformation, or contextualization.
Claims arising from third-party distribution or monetization.
Maximum liability of FORWINGO = €0.
17.9. Governing law & jurisdiction
This Agreement is governed exclusively by German law.
Any disputes shall be resolved exclusively in Frankfurt am Main courts.
International Users agree to binding arbitration under German law.
17.10. Acknowledgement
By using the Platform or uploading any Content, you confirm that:
“I fully understand and irrevocably agree to the commercial use of my name, image, likeness, voice, and personality by FORWINGO, without limitation and without compensation.”
Signature & consent
Electronic consent (checkbox) is legally binding under German law.
No physical signature required.
17.11. FORWINGO may use artificial intelligence for the editing, enhancement, classification, moderation, or transformation of Content.
Users consent to the use of their Content for training and improving AI systems operated by FORWINGO or its partners.
Indemnification
Users agree to defend and indemnify FORWINGO from claims arising from:
User actions
User Content
User-created Shows
User roles as Judge or Host
Termination
FORWINGO may suspend or delete accounts at its sole discretion.
No compensation is owed for removed Content, Shows, or roles.
19.1. Right to refuse service & modify rules
FORWINGO may refuse service, cancel Shows, modify rules, or remove Content at its sole discretion without notice or compensation.
Governing law & jurisdiction
These Terms are governed exclusively by German law.
All disputes shall be resolved exclusively in Frankfurt am Main courts.
Users waive the right to class-action lawsuits, group lawsuits, and jury trials.
For Users outside Germany, disputes shall be resolved via binding arbitration under German law in Frankfurt am Main.
If any provision is found invalid, remaining provisions remain in full effect.
20.1. Severability & Survivability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
All licenses granted to FORWINGO, including rights to User Content, publicity rights, and commercial usage rights, shall survive account termination, Show cancellation, or discontinuation of Platform services.
20.2. Arbitration Procedure (International Users)
Arbitration shall be conducted in German or English, at FORWINGO’s sole discretion.
All arbitration costs, attorney fees, administrative fees, expert fees, and enforcement costs shall be borne exclusively by the User.
The arbitration decision is final and binding, with no right to appeal.
These Terms apply to all Users worldwide. Local mandatory laws may apply in addition to these Terms.
Changes to terms
FORWINGO may update these Terms anytime.
Continued use of the Platform constitutes acceptance.
